AOBA and ARI Merger Up for Vote Dec. 2

On October 16, Alpaca Registry, Inc. (ARI) sent an email saying “On October 2, 2013, the ARI Board voted, by a 4–3 vote, to adopt an Agreement and Plan of Merger with AOBA and to send the Agreement and Plan of Merger to the ARI membership for a vote. A majority

of the ARI Board is recommending that merger be approved by ARI’s members.”

The email pointed out, “In order to be eligible to vote on this issue, you must be a voting member by November 4, 2013.”

On October 17, Alpaca Owners and Breeders Association (AOBA) sent an email saying “On October 8, 2013, the AOBA Board voted, by a unanimous 7-0 vote, to adopt an Agreement and Plan of Merger with ARI and is recommending that the merger be approved by AOBA’s membership. The Agreement and Plan of Merger will be sent to the AOBA membership for a vote.”

The email specified that in “Order to be eligible to vote on this issue, you must be a current AOBA FARM MEMBER by November 4, 2013.”

On October 30, AOBA sent another email reiterating that FAQs about the merger are available online at www.alpacaowners.com/login.asp and offering contact information for AOBA Board Members. This email asserted that “incomplete and inaccurate information being circulated on various social media sites regarding the merger.”

The vote is set to take place December 2 and according to an AOBA spokesperson reached via phone, votes will be tallied after that with the results being announced sometime after.
